Terms of Service
Effective date: June 1, 2026. Please read these terms carefully before using Custodium Vault. By creating an account or making a purchase, you agree to be bound by these terms.
These Terms of Service ("Terms") constitute a legally binding agreement between you and Custodium Vault ("we," "us," or "our"), governing your access to and use of https://custodiumvault.com and the Custodium Vault digital legacy management platform (the "Service"), powered by BePrepared. If you do not agree to these Terms, do not access or use the Service.
1. Acceptance of Terms
By accessing or using the Service, creating an account, or completing a purchase, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms in full. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Description of Service
Custodium Vault is a secure digital legacy management platform that allows you to store, organise, and share important documents, digital assets, healthcare directives, and end-of-life instructions with trusted family members, executors, and advisors.
The Service is powered by BePrepared and is delivered as a subscription-based software-as-a-service (SaaS) product. We reserve the right to modify, update, or discontinue features of the Service at any time, provided that material changes will be communicated to active subscribers with reasonable advance notice.
The Service is not a substitute for professional legal, financial, or medical advice. We strongly recommend working with qualified estate planning attorneys, financial advisors, and healthcare professionals for matters relating to wills, trusts, powers of attorney, and advance care directives.
3. Account Registration & Security
To use the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
- Notifying us immediately at support@custodiumvault.com if you suspect unauthorised access to your account.
- Keeping your account information up to date, including a valid email address.
You must not share your password with any person. Use the built-in invitation system to grant trusted contacts access to your vault — this ensures each person's access can be managed and revoked independently.
We reserve the right to suspend or terminate accounts where we have reason to believe that credentials have been compromised or that the account is being used in violation of these Terms.
4. Subscription Plans & Billing
Custodium Vault is offered on the following subscription plans:
- Annual Plan — $397.00 billed every year, renewing automatically.
- 2-Year Plan — $670.00 billed every two years, renewing automatically.
- 3-Year Plan — $930.00 billed every three years, renewing automatically.
- Lifetime Plan — $2,997.00 as a single one-time payment. No renewal.
All prices are in US dollars and are exclusive of any applicable taxes. You are responsible for all taxes applicable to your purchase under the laws of your jurisdiction.
Payments are processed securely by Stripe. By providing your payment details, you authorise us to charge the applicable subscription fee at the start of each billing period. Subscription renewals will be charged automatically unless you cancel before the renewal date.
We reserve the right to change subscription prices. We will provide at least 30 days' written notice by email before any price change takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5. Cancellation & Refunds
Cancellation
You may cancel your subscription at any time from your account settings or by contacting us at support@custodiumvault.com. Upon cancellation:
- Your access to the Service continues until the end of your current paid billing period.
- No further charges will be made after cancellation.
- We will prompt you to export your vault contents before your account closes.
Refunds
All plans include a 30-day money-back guarantee from the date of purchase. If you are not satisfied within the first 30 days, contact us at support@custodiumvault.com for a full refund, no questions asked.
After 30 days, subscription fees are non-refundable, including for multi-year and Lifetime plans. Partial refunds for unused periods are not provided except where required by applicable law.
6. Acceptable Use
You agree to use the Service only for lawful purposes. You must not:
- Upload, store, or share content that is illegal, fraudulent, defamatory, obscene, or that infringes a third party's intellectual property or privacy rights.
- Use the Service to impersonate another person or misrepresent your identity or affiliation.
- Attempt to gain unauthorised access to any part of the Service or to other users' accounts.
- Interfere with, disrupt, or overburden the Service or its underlying infrastructure.
- Use automated tools, bots, or scrapers to access the Service without our express written permission.
- Use the Service to transmit malware, viruses, or other malicious code.
- Reverse engineer, decompile, or disassemble any component of the Service.
- Resell, sublicense, or make the Service available to third parties without our authorisation.
We reserve the right to investigate suspected violations and to suspend or terminate accounts and pursue legal remedies where appropriate.
7. Intellectual Property
Our Intellectual Property
The Service, including its software, design, text, graphics, logos, and other content created by us, is owned by or licensed to Custodium Vault and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for personal, non-commercial purposes in accordance with these Terms. No other rights are granted.
Your Content
You retain full ownership of all documents, files, and content you upload to your vault ("Your Content"). By uploading content, you grant us a limited licence to store, encrypt, and make it available to you and the people you authorise — solely for the purpose of providing the Service. We do not use Your Content for any other purpose.
You represent and warrant that You have the right to upload Your Content and that it does not violate any third party's rights or applicable law.
8. Privacy
Your privacy is fundamental to everything we do. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully. Our security practices are detailed on our Security page.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the Service will meet your specific requirements or that any defects will be corrected.
Nothing in the Service constitutes legal, financial, medical, or professional advice. Custodium Vault is a document storage and organisation tool, not a substitute for professional estate planning services.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CUSTODIUM VAULT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your access to or use of (or inability to access or use) the Service;
- Any content stored in your vault;
- Unauthorised access to your account or vault content;
- Any third-party conduct or content on the Service.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability — in such cases, these limitations apply to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Custodium Vault and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your use of or access to the Service;
- Your violation of these Terms;
- Your Content or the upload, storage, or sharing of any content in your vault;
- Your violation of any third party's rights.
12. Termination
We may suspend or terminate your access to the Service immediately and without prior notice if:
- You breach these Terms;
- We are required to do so by law;
- Your account has been inactive for an extended period and you have not maintained an active subscription.
Upon termination, your right to use the Service ceases immediately. We will provide you a reasonable opportunity to export your vault contents before permanent deletion, except where termination is due to serious breach or legal requirement. Provisions of these Terms that by their nature should survive termination will do so, including intellectual property, disclaimers, limitation of liability, and indemnification.
13. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Before initiating any formal legal proceedings, you agree to contact us at hello@custodiumvault.com and give us a reasonable opportunity to resolve the dispute informally.
Any disputes that cannot be resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware. Each party shall bear its own costs unless the arbitrator determines otherwise.
Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Effective date" at the top of this page.
- Send an email notification to registered account holders at least 30 days before the new Terms take effect.
- Display a prominent notice within the Service.
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the effective date.
